Business: We represent clients on matters involving all business types, from single owner small businesses to large corporations. We can assist in all areas including structure, formation, compliance matters and day to day operations. We provide assistance in drafting and negotiating contracts and agreements, including buy sell agreements, non-compete agreements and merger and acquisition assistance.
Corporation and Partnership: We assist our clients from deciding what type of business is best for their needs, to helping them comply with the laws regulating their business. From large corporations to small, family held corporations, and all types of limited and general partnerships, we provide legal representation from formation to dissolution and everything in between.
Non-Profit Corporations: We have experience representing all types of tax exempt organizations in matters ranging from the organization to the maintenance to the dissolution of corporations with tax exempt status.
Commercial Litigation: We provide legal representation to our businesses clients on matters involving commercial disputes, including, but not limited to, breach of contract claims, suits for breach of fiduciary duty, business torts, and fraud claims.
Banking: We provide legal advice and representation to area banks on issues ranging from assisting customers with financial and business planning, to the creation and administration of Trusts, to debt collection.
Estate Planning: Our attorneys represent individuals to create wills, trusts, durable powers of attorney, health care powers of attorney, and living wills. They also provide legal representation to members of the family with concerns for elderly or incapacitated, and legal representation for the administration of a loved one's estate.
Elder Law: All of the estate planning done at our office includes providing legal advice to individuals on issues specifically related to being a senior citizen. Examples of issues that come under this practice area include, but are not limited to, Medicare planning, fiduciary responsibility for incapacitated individuals, guardianships and conservatorships.
Wills and Trusts: Our Attorneys provide legal representation and advice on the preparation of wills, trusts and powers of attorney, including discussing possible tax issues that may be related to the disposition of a person’s estate and working with the client's accountant on such matters. We also provide legal assistance on the administration of trusts and estates.
Probate: We also provide legal representation during the probate court proceeding of a will, as well as situations in which a loved one has died intestate (without a will).
Property Law and Natural Resources: Our attorneys commonly assist individuals and businesses on matters involving the purchase, sale or lease of real property including, but not limited to, land use, property development, zoning, covenant enforcement, condemnation and federal and state compliance issues. Additionally, our attorneys have a great deal of knowledge and experience in representing owners of natural resources in the development and preservation of natural resources including minerals, oil and gas, and wind.
Real Estate: We assist clients in purchases and sales of homes, businesses, ranches and farms. We provide legal representation for the creation and enforcement of leases, liens, easements, purchase agreements, contracts for deed and all other types of contracts on real property. We provide legal representation and advice in real property litigation, including foreclosures, workouts, receiverships, disputes in real estate sales contracts, leases, loans and zoning matters.
Oil and Gas: We provide legal representation on matters involving the sale, purchase and leasing of Oil and Gas interests. Examples of matters that fall into this practice area include, but are not limited to, purchase and sale agreements, leasing agreements, division orders, exploration agreements, and other related advice concerning the ownership of such interests. We also have experience in the formation and administration of mineral trusts and mineral family partnerships for the preservation of minerals for future generations.
Wind: Our attorneys have experience in representing landowners in negotiation of wind energy contracts, a relatively new but growing source of energy for Northwestern North Dakota.
Zoning and Land Development: We assist clients with issues relating to land use and land development, including helping to obtain the necessary development and zoning permits.
General Practice: In addition to the areas specified, we provide a full range of legal representation to our clients. Our firm does not provide legal representation for patents, bankruptcy, divorce and custody issues, or criminal defense. Civil Litigation: Our attorneys represent individuals and businesses in a large range of non-criminal court cases, including litigation relating to decedent’s estates and mineral ownership.
Contract: Our Attorneys provide legal representation to individuals and businesses in preparing contracts including purchase and sale agreements, business forms, buy/sell agreements, and employment agreements, and other types of agreements. We also assist clients in litigation commonly associated with contracts such as suits for breach of contract, suits to enforce an agreement, and suits for agreements obtained by fraud.
Energy and Public Utility Law: Our Attorneys represent energy and public utility companies in areas such as State and Federal regulatory compliance, operations, management, finance and development.
Communications: We represent communication companies and public utilities on matters involving the communications industry including, but not limited to, compliance with and interpretation of federal and state rules and regulations, purchase, sale, lease and licensing contracts and agreements.
Mediation: Our attorneys are available to serve as mediators for individuals who are attempting to work out a negotiated settlement. Many people use mediation to settle disputes before undertaking the expenses of all out litigation.
